Artist Exhibition Terms

These Artist Exhibition Terms apply when you apply for, are selected for, or participate in an Art Happy exhibition.

By submitting an application, and again by accepting a place in an exhibition, you agree to these Terms.

Art Happy provides a curated online exhibition and sales platform through which independent artists can exhibit and sell original artwork directly to collectors. These Terms explain what Art Happy provides, what we expect from participating artists, how sales and payments work, and what happens when an artwork sells.

1. Who can apply

Art Happy exhibitions are currently open to artists aged 18 or over who are based in the United Kingdom.

You must be legally entitled to enter into these Terms and to offer the artwork you submit for sale.

There is no limit to the number of Art Happy exhibitions you may apply for unless an individual exhibition states otherwise.

Each exhibition is selected independently. Not being selected for one exhibition does not affect your eligibility for future exhibitions.

2. Applications are free

There is no charge to apply for an Art Happy exhibition.

At the application stage, we normally ask you to provide one good-quality photograph of an example of your work that represents the style and quality of the artwork you would like to exhibit.

The example submitted with your application does not necessarily need to be one of the four artworks ultimately entered into the exhibition.

Submitting an application does not guarantee selection.

3. Selection

Art Happy exhibitions are curated.

We select artists and artworks to create a strong, coherent and interesting exhibition. Selection may take into account artistic quality, originality, suitability for the theme, presentation, the mix of work within the exhibition and other curatorial considerations.

Selection is necessarily subjective.

Art Happy's selection decision is final, although you are very welcome to apply for future exhibitions.

The individual exhibition page shows the date by which artists will be notified.

4. Securing your exhibition place

If you are selected, you will be invited to accept your place and pay the £50 exhibition fee.

Your individual exhibition page will state the payment deadline.

Your place is not confirmed until you have paid the exhibition fee in full.

If we do not receive payment by the stated deadline, Art Happy may offer the place to another artist.

The exhibition fee is payable for each exhibition in which you are selected.

5. Exhibition fee

The £50 exhibition fee covers your participation in that individual exhibition and includes:

  • listings for four original artworks;

  • preparation of your Art Happy exhibition listings;

  • an Art Happy-created room mock-up for each artwork;

  • an Art Happy-created 5–10 second video for each artwork;

  • participation in the exhibition competition;

  • your unique marketing link;

  • live online marketing and business coaching and access to the recording;;

  • inclusion in Art Happy's exhibition marketing and promotion.

The exhibition fee is non-refundable once your place is confirmed, except if Art Happy cancels the exhibition and does not offer a suitable rescheduled exhibition.

If you withdraw, fail to submit the required artwork by the deadline, submit artwork that does not meet the stated requirements, or are otherwise unable to participate after securing your place, the exhibition fee will not normally be refunded.

6. Your four artworks

If selected, you must submit four original artworks for the exhibition by the deadline shown on the exhibition page.

Each artwork must comply with the theme, format, size and any other requirements stated for that exhibition.

The accepted Art Happy formats are stated on the relevant exhibition page.

Artwork dimensions refer to the artwork itself and exclude any frame.

If an artwork is framed, framing is optional unless otherwise stated and does not alter the artwork's selling price.

Where an artwork is framed, we may ask you to provide both:

  1. a clear photograph of the artwork itself; and

  2. a photograph showing the artwork framed.

7. Original artwork

Artwork submitted to Art Happy must be original work that you are entitled to sell.

Unless an exhibition specifically states otherwise, reproductions, prints or copies are not accepted as original artworks.

You must not submit artwork that unlawfully copies or substantially reproduces another person's artwork, photograph, illustration, character, design, trademark or other protected material.

You are responsible for obtaining any permissions or licences required for material incorporated into your work.

8. Information you provide

For every selected artwork, you must provide the information requested by Art Happy. This may include:

  • title;

  • artist name;

  • medium;

  • dimensions;

  • framing information;

  • description;

  • photographs;

  • year of creation;

  • any relevant condition information; and

  • any other details reasonably required to create the listing.

All information you provide must be complete and accurate.

You must tell us about any material defect, damage, repair, unusual surface characteristic or other condition that a reasonable collector would expect to know before purchasing the artwork.

9. Photography

You are responsible for supplying clear, accurate and good-quality photographs of your artwork.

Photographs should represent the colours, proportions and appearance of the original artwork as accurately as reasonably possible.

Art Happy may reject photographs that are blurred, poorly lit, heavily distorted, watermarked or otherwise unsuitable for creating a professional listing.

We may ask you to provide replacement photographs.

10. Art Happy-created images and videos

As part of your exhibition fee, Art Happy may create room mock-ups, promotional graphics and short videos using photographs of your artwork.

These are intended to help collectors visualise and discover the artwork.

Mock-ups are illustrative and are not intended to provide an exact representation of scale, colour or appearance in a particular room.

The original artwork photograph and stated measurements remain the primary reference for the work being sold.

11. Copyright and permission to market your work

You retain copyright in your artwork to the extent that you own it.

Selling the physical artwork does not automatically transfer copyright in that artwork to the collector. UK copyright and ownership of the physical object are separate rights.

By participating in an Art Happy exhibition, you grant Art Happy a non-exclusive, worldwide, royalty-free licence to use the photographs and information you provide for purposes connected with:

  • creating and operating your artwork listings;

  • the relevant exhibition;

  • promoting Art Happy exhibitions;

  • social media;

  • email marketing;

  • online advertising;

  • press and publicity;

  • room mock-ups;

  • promotional video;

  • historical or past-exhibition pages; and

  • promotion of Art Happy generally.

This permission allows us to crop, resize, format and combine your supplied images with text, backgrounds, frames and room settings for normal marketing purposes.

It does not transfer ownership of your copyright to Art Happy.

12. Availability of submitted artwork

Once your four artworks have been accepted for an exhibition and Art Happy has begun preparing the exhibition, they must remain available for sale through Art Happy until the exhibition closes.

You must not sell, promise, reserve or otherwise dispose of an exhibited artwork elsewhere during this period.

This is important because Art Happy will market the artwork and accept orders from collectors.

If an artwork becomes unavailable for any reason, you must tell us immediately.

Art Happy may, at its discretion, allow a replacement artwork if there is sufficient time to prepare a new listing. We are not obliged to do so.

13. Artwork prices

Each Art Happy exhibition has a stated artwork format and selling price.

All four artworks submitted for that exhibition will be offered at that stated selling price.

You may not independently increase or reduce an artwork's price during the exhibition.

Framing does not alter the stated selling price.

14. The artist remains responsible for the artwork

The physical artwork remains in your possession until it sells.

You are responsible for its care, condition and safekeeping while it remains with you.

Art Happy does not take ownership of the artwork or take physical possession of it.

15. Art Happy's role in a sale

Art Happy provides the exhibition platform, artwork presentation, marketing, online checkout and administration of sales.

You are the seller of your artwork to the collector. Art Happy acts as your disclosed selling agent in arranging and administering the sale.

Your identity as the artist and seller will be disclosed to the collector as part of the transaction.

Art Happy collects payment from the collector on your behalf, administers the financial transaction and deducts the amounts due to Art Happy and any applicable marketing payment before paying the amount due to you.

Art Happy does not purchase the artwork from you or resell it to the collector.

Once an artwork has sold, you are responsible for fulfilment of the order and for communicating directly with the collector about packaging, dispatch, tracking and delivery.

Art Happy administers matters relating to the transaction itself, including payments, cancellations, returns and refunds, and may become involved where an issue between you and the collector cannot otherwise be resolved.

Art Happy may update its invoicing, VAT or transaction procedures where reasonably necessary to comply with applicable law.

16. What happens when your artwork sells

When an artwork sells, Art Happy will notify you using the contact details you have provided.

We aim to notify the relevant artist within 24 hours of receiving the order.

We will provide you with the collector information reasonably necessary to fulfil the order.

You must contact the collector directly regarding delivery, prepare the artwork for safe transport and arrange its dispatch.

Unless we agree otherwise, the artwork must be dispatched within three working days of Art Happy notifying you of the sale.

You are responsible for keeping the collector reasonably informed about dispatch, tracking and delivery.

17. Packaging

You are responsible for packaging your artwork properly for transport.

Packaging must be suitable for:

  • the size and weight of the artwork;

  • the materials used;

  • any frame or glazing;

  • the distance it will travel; and

  • normal handling by the chosen courier.

The artwork must be protected against reasonable risks including impact, movement, moisture and crushing.

18. Courier and tracking

You choose and arrange the courier used to deliver your artwork.

All artwork must be sent using a tracked delivery service.

You must retain proof of dispatch and tracking information and provide relevant delivery or tracking information directly to the collector.

You must also provide this information to Art Happy if reasonably requested in connection with a cancellation, refund, dispute or other transaction issue.

You are responsible for selecting an appropriate delivery service and an appropriate level of insurance or compensation cover for the artwork.

19. UK delivery

Collectors receive free UK delivery on Art Happy artwork purchases unless an individual listing expressly states otherwise.

For UK sales, you arrange and pay for delivery.

The delivery cost is covered by you from your share of the sale.

Art Happy does not deduct the delivery cost separately from your payment.

20. International delivery

Art Happy will make artwork available to collectors outside the UK.

Where international delivery is available, Art Happy will normally add a standardised international delivery charge to the collector's order.

That delivery amount will be passed to the artist responsible for fulfilling the order.

Art Happy does not deduct its selling commission or a marketing payment from the international delivery charge.

You remain responsible for choosing and paying the courier and arranging safe, tracked international delivery.

International shipments may be subject to customs formalities, import VAT, duties, taxes or handling charges in the destination country. Collector responsibilities for these charges will be set out in the Collector Terms.

21. Risk during delivery

You are responsible for properly packaging and dispatching the artwork and for dealing with your courier if the parcel is lost or damaged in transit.

If an artwork is delayed, lost, damaged or not delivered, you must work directly with the collector and, where necessary, your chosen delivery provider to resolve the delivery issue.

This may include making a courier insurance or compensation claim.

If the issue cannot be resolved and affects the underlying transaction, you must cooperate promptly with Art Happy in determining what should happen with the sale, payment or refund.

Art Happy may delay the related artist payment while a delivery problem affecting the transaction is being resolved.

22. Collector cancellation and returns

Online collectors may have statutory cancellation, return and refund rights.

UK consumers buying online may have a legal right to cancel within 14 days after receiving the goods, as well as separate rights where goods are faulty, damaged or not as described.

Participating artists must cooperate with Art Happy in complying with applicable consumer law.

You must not refuse a return or refund where the collector has a legal right to one.

The Art Happy Collector Terms will set out detailed collector cancellation and return arrangements.

23. Returns to the artist

Where a collector has notified Art Happy that they are cancelling a purchase or an artwork otherwise needs to be returned, Art Happy will notify you.

You must then contact the collector directly and provide the return address and any information reasonably required for the return.

You are responsible for communicating directly with the collector about the physical return of the artwork.

You must promptly notify Art Happy when the returned artwork has been received and tell us its condition.

You must not independently agree a refund, discount or financial settlement with a collector without informing Art Happy where the original payment was processed through Art Happy.

24. Faulty, damaged or incorrectly described artwork

You are responsible for ensuring that the artwork supplied matches the description and photographs provided for the listing.

If an artwork is materially not as described, faulty, damaged before dispatch or otherwise does not meet the collector's legal rights, the related sale may be refunded.

Where a problem arises from your artwork, packaging, description or fulfilment, you may be responsible for associated return or redelivery costs.

25. Artist payment

When your artwork sells, your standard artist payment is 60% of the artwork selling price.

The standard artist payments are:

  • £300 artwork — £180 artist payment

  • £500 artwork — £300 artist payment

  • £750 artwork — £450 artist payment

Your artist payment is separate from any marketing payment you may also earn.

You remain responsible for any tax or VAT obligations that apply to you or to your sale of the artwork.

26. Art Happy selling commission

Art Happy retains 30% of the artwork selling price as its selling commission for providing and operating the exhibition platform, artwork presentation, marketing, online checkout and administration of the sale.

27. Marketing payment

The remaining 10% of the artwork selling price is allocated to marketing.

It rewards the qualifying artist, affiliate or Art Happy marketing activity that generated the sale.

Where your own qualifying marketing link generates a sale, you receive the 10% marketing payment for each qualifying artwork sold, even if the collector buys another artist's artwork.

If your own marketing link generates the sale of your own artwork, you receive both your normal 60% artist payment and the 10% marketing payment.

If another artist or affiliate generated the qualifying sale, the marketing payment is paid to them.

Where Art Happy's own qualifying marketing activity generates the sale, the marketing allocation is retained by Art Happy.

Only one 10% marketing payment is payable for each qualifying artwork sale.

28. Qualifying marketing sales

Art Happy's tracking and transaction records will be used to determine which qualifying marketing link generated a sale.

When someone follows your Art Happy marketing link, our affiliate tracking system records the referral for 30 days.

If that person makes a qualifying Art Happy artwork purchase during that period, the sale may be attributed to your marketing link.

A marketing payment is only earned on a completed qualifying artwork sale that Art Happy's tracking system attributes to your marketing link.

Marketing payments are not payable on:

  • cancelled orders;

  • refunded sales;

  • fraudulent transactions;

  • chargebacks;

  • transactions that do not complete; or

  • delivery charges.

If a marketing payment has already been calculated and the underlying sale is subsequently cancelled or refunded, Art Happy may deduct the corresponding amount from a future payment.

29. Your marketing link

Every participating artist receives a unique Art Happy marketing link.

Your marketing link remains active for as long as you remain an approved Art Happy affiliate, unless it is suspended or terminated in accordance with the Art Happy Affiliate Terms.

You may continue to share your link and earn qualifying marketing payments from future Art Happy exhibitions even when you are not personally exhibiting.

Once your exhibition has ended, your ongoing use of the marketing link and any future marketing payments are governed by the Art Happy Affiliate Terms.

30. Marketing and business coaching

Art Happy provides participating artists with a live online marketing and business coaching session to help you promote your exhibition, use your marketing link effectively and develop the wider business of selling your art.

The session may include practical marketing guidance, business coaching and the opportunity to ask questions.

The training date for each exhibition will be communicated in advance and may also be published on the exhibition page.

Where practicable, Art Happy will make a recording available to participating artists who cannot attend live.

31. Responsible marketing

When promoting Art Happy, you must act honestly and responsibly.

You must not:

  • make false or misleading statements about an artwork, artist, exhibition or Art Happy;

  • misrepresent prices, prizes, discounts or availability;

  • impersonate Art Happy;

  • use spam or unlawful unsolicited marketing;

  • make promises on Art Happy's behalf that we have not authorised; or

  • use your marketing link in a fraudulent or misleading way.

Art Happy may suspend a marketing link where we reasonably believe it is being misused.

32. Exhibition competition

Every Art Happy exhibition currently includes three exhibition prizes:

1st Prize — £100
2nd Prize — £50
3rd Prize — £25

All eligible artworks entered into the exhibition may be considered.

There is no separate competition entry fee.

Winners are chosen by Art Happy or a judge appointed by Art Happy before the exhibition opens.

Judging is based on artistic and curatorial assessment and is necessarily subjective.

The judges' decision is final.

Prize money is paid as part of the relevant Art Happy exhibition payment run.

Art Happy may change, increase or replace prizes for future exhibitions, but any prizes advertised for an exhibition at the time artists accept their places will be honoured.

33. Payment timing

Art Happy normally processes amounts due to you in connection with your participation in the relevant exhibition 21 days after that exhibition closes.

Your exhibition payment may include:

  • artist payments for artwork sold;

  • marketing payments earned during your exhibition participation;

  • exhibition prize money; and

  • international delivery payments due to you.

We aim to combine these into one payment wherever practicable.

After your exhibition has ended, marketing payments earned through your continuing Art Happy marketing link are subject to the Affiliate Terms and are normally paid at the end of the calendar month following the month in which the qualifying sale is completed.

34. Sales still being resolved

A payment relating to a particular sale may need to be delayed where there is an unresolved:

  • delivery;

  • cancellation;

  • return;

  • refund;

  • chargeback;

  • damage claim; or

  • other dispute relating to that transaction.

Where this happens, Art Happy will contact you and agree the practical next steps and timing for the affected payment.

Unrelated completed amounts do not automatically need to be delayed.

35. Payment information

You must provide accurate payment and identification information when requested.

Art Happy is not responsible for payment delays caused by incorrect or incomplete details supplied by you.

If information required for legal, tax, fraud-prevention or reporting purposes has not been provided, Art Happy may delay payment until the necessary information is received.

36. Your tax responsibilities

You are responsible for your own tax affairs arising from your participation in Art Happy, including any VAT obligations that apply to you.

You must tell Art Happy whether you are VAT registered and, if so, provide your valid VAT registration number.

You must tell us if your VAT registration status changes.

37. Digital platform reporting

Art Happy may be required by law to collect, verify and report information about artists and transactions to HMRC or another relevant authority.

Where required, you agree to provide the information reasonably necessary for this purpose.

Art Happy may restrict selling or delay payments where information we are legally required to obtain has not been provided.

38. Collector information and privacy

If an artwork sells, you may receive personal information about the collector that is necessary to fulfil the order, such as their name, delivery address, email address and other relevant contact information.

You may use that information only for communicating with the collector about fulfilment and delivery of the artwork, completing the Art Happy transaction and meeting legitimate legal or accounting requirements.

You must not:

  • add the collector to your own mailing list without their consent;

  • use their details for unrelated marketing;

  • sell or share their personal information, except with a delivery provider where reasonably necessary to fulfil the order; or

  • retain their information longer than reasonably necessary.

You must keep collector information secure.

Art Happy's handling of personal information is also governed by its Privacy Policy.

39. Communication

You are responsible for providing Art Happy with a working email address and for checking communications relating to your application, exhibition and sales.

You must tell us promptly if your contact information changes.

Deadlines are not automatically extended because an email was overlooked or entered incorrectly.

40. Artist conduct

Artists participating in Art Happy are expected to communicate professionally and respectfully with Art Happy, collectors, other participating artists and service providers.

Art Happy may remove an artist from an exhibition or refuse future applications in cases of serious misconduct, fraud, abusive behaviour, repeated failure to fulfil sales or material breach of these Terms.

41. Withdrawal by the artist

If you need to withdraw after accepting a place, you should tell us as soon as possible.

The exhibition fee will not normally be refunded.

If you withdraw after listings or promotional material have been created, Art Happy may remove your work from the exhibition and may offer the place to another artist where practical.

Repeated late withdrawals may be considered when assessing future applications.

42. Removal of artwork or artist

Art Happy may refuse, suspend or remove artwork where we reasonably believe:

  • it does not meet the exhibition requirements;

  • information provided is misleading;

  • copyright or other rights may be infringed;

  • the artwork differs materially from the work selected;

  • the work is unsafe, unlawful or unsuitable for sale;

  • an artist has breached these Terms; or

  • continued inclusion could reasonably expose Art Happy, a collector or another person to legal or reputational harm.

Where reasonably possible, we will discuss the issue with you first.

43. Changes to an exhibition

Occasionally Art Happy may need to change an exhibition date, training date, early-access date or other operational detail.

Where a material change affects participating artists, we will tell you as soon as reasonably possible.

Minor operational or promotional changes do not entitle an artist to a refund.

44. Cancellation by Art Happy

Art Happy may cancel or postpone an exhibition where circumstances make it impractical or unreasonable to proceed.

If Art Happy permanently cancels an exhibition before it takes place and you have paid an exhibition fee, we will refund that exhibition fee, unless the cancellation arose from your own breach of these Terms.

Where an exhibition is postponed, we may instead offer to transfer your place and fee to the rescheduled exhibition.

45. Events outside reasonable control

Art Happy is not responsible for delays or failures caused by events outside its reasonable control, including major technical failure, serious illness, industrial action, interruption of essential services, natural disaster, government action or other exceptional events.

We will take reasonable steps to minimise disruption and communicate material changes.

46. Third-party services

Art Happy uses third-party services such as website hosting, payment processing, email and other technology services.

We are not responsible for a third-party service failure that is genuinely outside our reasonable control, although we will take reasonable steps to resolve problems affecting an Art Happy transaction.

47. No guarantee of sale

Participation in an Art Happy exhibition does not guarantee that any artwork will sell.

Art Happy will present and market exhibitions and provide artists with marketing tools, but purchasing decisions remain entirely with collectors.

We cannot guarantee visitor numbers, enquiries, social-media reach, marketing-link traffic or sales.

48. Past exhibitions and sold artwork

After an exhibition ends, Art Happy may retain a historical exhibition page or examples of participating artwork for archive, editorial, promotional or credibility purposes.

A sold artwork may be marked as sold rather than removed entirely.

This does not give Art Happy ownership of your artwork or copyright.

49. Changes to these Terms

Art Happy may update these Terms from time to time as the platform develops or legal and operational requirements change.

The Terms that apply to a particular exhibition will normally be those in force when you accept your place, unless a change is required by law or you expressly agree to it.

The current version will be published on the Art Happy website with the date of the latest update.

50. If part of these Terms is unenforceable

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

51. No waiver

If Art Happy does not immediately enforce a provision of these Terms, that does not mean we have waived the right to enforce it later.

52. Governing law

These Terms are governed by the law of Scotland.

Nothing in these Terms removes any statutory rights or jurisdiction protections that legally apply to you.
