Art Happy Affiliate Terms

These terms apply when you participate in the Art Happy affiliate programme or use an Art Happy marketing link.
Art Happy works with artists, affiliates and creative communities to help more people discover and buy original art. Our affiliate programme rewards the people who help us spread the word, so these terms explain how marketing links, qualifying sales, marketing payments, training and your responsibilities as an Art Happy affiliate work.
1. About Art Happy
Art Happy is operated by Ogilvie Advisory Ltd, a company registered in Scotland, trading as Art Happy.
Art Happy runs curated online art exhibitions, bringing together independent UK artists and collectors in the UK and internationally.
2. Who can become an affiliate
Individuals, businesses, organisations, art societies, creative groups, content creators and other suitable partners may apply to become Art Happy affiliates.
There is no fee to become an affiliate.
Participation is subject to approval by Art Happy, and we may decline an application where we reasonably consider that the applicant is not suitable for the programme.
Artists who exhibit with Art Happy also become part of the Art Happy affiliate programme and can continue using their marketing link after their exhibition has finished.
3. Your Art Happy marketing link
Each approved affiliate receives a unique Art Happy marketing link.
Your link allows qualifying sales generated by your marketing activity to be attributed to you.
Your marketing link remains active for as long as you remain an approved Art Happy affiliate. It does not expire simply because an exhibition has ended or because you are no longer exhibiting with Art Happy.
Your link is personal to you or your approved organisation and must not be transferred, sold or assigned to somebody else without Art Happy's permission.
4. Exhibiting artists
Artists selected for an Art Happy exhibition receive an Art Happy marketing link as part of their participation.
While participating in an exhibition, the artist's exhibition participation is governed by the Artist Exhibition Terms.
Marketing payments due to an exhibiting artist are included with their exhibition settlement and processed 21 days after the exhibition closes, subject to completed delivery and any applicable cancellations, returns or refunds.
Once that exhibition has ended, the artist can continue using their marketing link as an Art Happy affiliate. Future marketing payments are then governed by these Affiliate Terms and the standard affiliate payment timetable.
There is no need to reapply to become an affiliate simply because your exhibition has ended.
5. How much can you earn?
You earn a marketing payment equal to 10% of the artwork selling price for every qualifying artwork sale attributed to your marketing link.
At the current Art Happy artwork prices:
Original — £300 sale → you earn £30 per artwork sold
Gallery — £500 sale → you earn £50 per artwork sold
Statement — £750 sale → you earn £75 per artwork sold
There is no limit to the number of qualifying artwork sales you can earn from. If your marketing generates multiple sales from the same exhibition, you earn the 10% marketing payment on each qualifying artwork sold.
For example, if three £300 Original artworks are purchased through qualifying referrals from your marketing link, you would earn £90 in marketing payments.
The marketing payment applies to the artwork selling price only. It does not apply to delivery charges or other amounts paid by the collector.
Only one 10% marketing payment is available per artwork sale.
6. What is a qualifying sale?
A qualifying sale is a genuine, completed Art Happy artwork purchase that our affiliate tracking system attributes to your marketing link.
A marketing payment is not payable where a transaction is cancelled, returned, fully refunded, fraudulent, reversed, or otherwise does not result in a completed sale.
If a sale is cancelled or refunded before your marketing payment is made, the corresponding marketing payment will no longer be due.
If a refund is issued after the marketing payment has been made, Art Happy may deduct the corresponding amount from a future affiliate payment.
7. How sales are attributed
When someone follows your Art Happy marketing link, our affiliate tracking system records the referral for 30 days.
If that person makes a qualifying Art Happy artwork purchase during that 30-day period, the sale may be attributed to your marketing link and you will earn the applicable 10% marketing payment.
If the collector follows marketing links belonging to more than one Art Happy affiliate before making their purchase, the sale will normally be attributed to the most recent affiliate referral recorded by our affiliate tracking system.
A marketing link may remain active for as long as you remain an approved Art Happy affiliate, but each individual referral is subject to the 30-day tracking period described above.
Tracking technology has limitations. Tracking may not work where the collector declines, blocks or deletes the relevant cookies or other tracking technologies, changes browser or device, or where the necessary tracking information is otherwise unavailable.
Where there is a genuine question about the attribution of a sale, Art Happy will use the information recorded by its affiliate tracking system to determine whether a marketing payment is due.
8. Standard affiliate payment timetable
Affiliate marketing payments are made at the end of the calendar month following the month in which the qualifying sale is completed.
For example, a qualifying sale completed in March would normally be paid at the end of April.
This payment timetable applies to all standard affiliates, including artists whose Art Happy exhibition has already ended.
9. Exhibiting artists’ payment timetable
If you are currently participating in an Art Happy exhibition, marketing payments due to you in connection with that exhibition period will be included with your artist exhibition settlement.
These payments are processed 21 days after the exhibition closes, subject to completed delivery and any applicable cancellations, returns or refunds.
After your exhibition has ended, you move onto the standard affiliate payment timetable set out above.
Your marketing link itself continues to operate.
10. Payment details
You are responsible for providing Art Happy with accurate and complete information required to make payments to you.
You must tell us promptly if your payment details change.
Art Happy is not responsible for delays caused by incorrect or incomplete payment information supplied by you.
11. Tax and VAT
You are responsible for your own tax affairs arising from payments you receive through the Art Happy affiliate programme.
You must tell Art Happy whether you are VAT registered.
If you are VAT registered, you must provide your valid VAT registration number and comply with any applicable VAT invoicing requirements.
You must tell us if your VAT registration status changes.
12. Monthly marketing training
Approved Art Happy affiliates are invited to attend a live online marketing training session every month.
The sessions provide practical support with promoting Art Happy and our exhibitions, using your marketing link effectively, reaching potential collectors and making more of your affiliate partnership.
There will also be an opportunity to ask questions, share ideas and get practical support with your Art Happy marketing.
Participation is optional and does not guarantee sales or earnings.
Artists participating in an Art Happy exhibition may also receive additional marketing training and business coaching as part of their exhibition experience.
13. Your responsibility when promoting Art Happy
You are responsible for the marketing content you create and publish.
Anything you say about Art Happy, our exhibitions, artists, artworks, prices or services must be honest and accurate.
You must not make promises, guarantees or representations on behalf of Art Happy unless we have specifically authorised them.
You must not present yourself as an employee of Art Happy or suggest that you have authority to enter into agreements on behalf of Art Happy.
14. Making affiliate marketing clear
Where required by applicable advertising rules, you must make it clear that your marketing contains affiliate links or that you may receive a payment if somebody buys through your link.
Your marketing must comply with applicable UK advertising and consumer protection requirements.
You are responsible for ensuring that the commercial nature of your affiliate marketing is appropriately disclosed.
15. Using Art Happy marketing materials
Art Happy may provide affiliates with exhibition images, promotional graphics, copy, links and other marketing materials.
You may use materials supplied or expressly approved by Art Happy for the purpose of promoting Art Happy and its exhibitions.
You must not substantially alter the Art Happy logo, create misleading Art Happy-branded material or imply that something you have created has been produced or endorsed by Art Happy when it has not.
Art Happy branding and other Art Happy intellectual property remain the property of Art Happy or their respective owners.
16. Artwork and artist images
Artwork images and other artist material may be protected by copyright.
Where Art Happy provides artwork images or exhibition promotional materials for affiliate marketing, you may use them for the purpose of promoting Art Happy and the relevant exhibitions.
You must not sell the images, claim ownership of them, use them for unrelated commercial purposes or materially alter the artwork shown without permission.
17. Marketing you must not undertake
You must not use your Art Happy affiliate relationship to:
send spam or unsolicited bulk marketing;
make false or misleading claims;
impersonate Art Happy or an Art Happy artist;
create websites, social media accounts or domain names that misleadingly appear to be operated by Art Happy;
manipulate affiliate tracking;
generate false, artificial or fraudulent transactions;
use Art Happy branding in a way that could reasonably damage Art Happy or participating artists;
promote Art Happy alongside unlawful, abusive, discriminatory or seriously inappropriate content; or
engage in marketing activity that breaches applicable advertising, privacy or consumer protection requirements.
Art Happy may suspend or terminate an affiliate relationship where these requirements are breached.
18. No guarantee of earnings
Becoming an Art Happy affiliate does not guarantee sales or marketing payments.
Results will depend on factors including your promotional activity, your audience, collector demand and the performance of individual exhibitions.
There is no minimum or guaranteed level of earnings.
19. Changes to artwork prices or affiliate payments
Art Happy may change its artwork formats, selling prices or affiliate marketing payment structure in the future.
Where a change affects the affiliate programme, we will communicate it to active affiliates before it takes effect.
Changes will apply to future sales and will not retrospectively reduce a marketing payment already earned on a qualifying completed sale.
20. Ending your affiliate relationship
You can choose to leave the Art Happy affiliate programme at any time.
Art Happy may also end an affiliate relationship or deactivate a marketing link.
Where reasonably possible, we will give notice before doing so.
We may suspend or terminate a marketing link immediately where there is suspected fraud, manipulation of tracking, misleading or unlawful marketing, serious misconduct or a material breach of these Terms.
Ending your affiliate relationship does not remove your entitlement to valid marketing payments already earned before your link was deactivated, subject to any applicable cancellations, returns, refunds or adjustments.
Once your link has been deactivated, it will no longer generate marketing payments.
21. Previously exhibiting artists
Finishing an Art Happy exhibition does not end your relationship with Art Happy's affiliate programme.
You can continue using your marketing link and earning marketing payments for as long as you remain an approved Art Happy affiliate.
Once your exhibition has ended, these Affiliate Terms apply to your ongoing affiliate activity, including the standard payment timetable of the end of the calendar month following the qualifying sale.
If you subsequently exhibit with Art Happy again, marketing payments during that exhibition period will once again be dealt with through the exhibiting artist payment timetable.
22. Independent relationship
Being an Art Happy affiliate does not make you an employee of Art Happy and does not create a partnership, joint venture or franchise.
You participate as an independent affiliate and are responsible for your own activities, expenses and tax affairs.
23. Third-party services
Art Happy currently uses GoAffPro to operate its affiliate programme and provide referral and sales tracking. We may also use other third-party services for website functionality, checkout, payment processing and other aspects of the affiliate programme.
We cannot guarantee that third-party technology will always operate without interruption or error.
Where tracking information is unavailable because of technical limitations outside our reasonable control, Art Happy cannot guarantee that a sale can be attributed to an affiliate.
24. Changes to these Terms
Art Happy may update these Affiliate Terms from time to time.
Where a change materially affects affiliate payments or your responsibilities, we will take reasonable steps to tell active affiliates before the change takes effect.
The updated Terms will apply from the date stated in them.
25. Severability
If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
26. No waiver
If Art Happy does not immediately enforce a provision of these Terms, that does not mean we have waived our right to enforce it later.
27. Governing law
These Terms are governed by the law of Scotland.
Nothing in these Terms affects any rights or jurisdiction that cannot lawfully be excluded or restricted.
